Welcome to Meshhur Network Ltd ("we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and related services (collectively, the "Services"). By accessing or using our Services, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Services. These Terms apply to all visitors, users, and others who access or use the Services ("Users").

To use our Services, you must be at least 13 years of age. By using the Services, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding contract with Meshhur Network Ltd. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to these Terms on behalf of that organization.

To access certain features of the Services, you may be required to register for an account. When registering for an account, you agree to provide accurate, current, and complete information as prompted by the registration form. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Meshhur Network Ltd will not be liable for any loss or damage arising from your failure to comply with these responsibilities.

Meshhur Network Ltd grants you a limited, non-exclusive, non-transferable, and revocable license to use our Services for your personal, non-commercial use, subject to these Terms. You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Violate any laws in your jurisdiction, including but not limited to intellectual property laws.
• Transmit any worms, viruses, or any code of a destructive nature.
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein.
• Attempt to gain unauthorized access to the Services, related systems, or networks.
• Use the Services to transmit unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.

We reserve the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting Users who violate these Terms.

Our Services may allow you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other material ("User Content"). You are responsible for the User Content that you post on or through the Services, including its legality, reliability, and appropriateness. By posting User Content on or through the Services, you represent and warrant that:

• You own or control all rights to the User Content you post or that you have all necessary rights to post the content and grant the licenses specified in these Terms.
• The posting of your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

You retain any and all of your rights to any User Content you submit, post, or display on or through the Services and you are responsible for protecting those rights. However, by submitting User Content through the Services, you grant Meshhur Network Ltd a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, modify, create derivative works of, display, and perform your User Content in connection with the Services and Meshhur Network Ltd's business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

All intellectual property rights in the Services and the materials therein, including but not limited to software, design, text, images, graphics, logos, button icons, and the compilation and arrangement thereof, are owned by Meshhur Network Ltd or its licensors and are protected by applicable intellectual property laws. The trademarks, service marks, and logos used and displayed on the Services are Meshhur Network Ltd’s registered and unregistered trademarks or those of our licensors or suppliers. Nothing in these Terms grants you any right, title, or interest in or to the Services or any content on the Services.

Certain aspects of the Services may require payment. You agree to provide accurate and complete payment information. You authorize Meshhur Network Ltd to charge the payment method you provide for any fees incurred through your use of the Services. All fees are non-refundable, except as required by law. Meshhur Network Ltd reserves the right to modify its pricing and payment terms at any time. We will notify you in advance of any changes to our fees or payment terms.

Some Services may be available on a subscription basis with automatic renewal. If you subscribe to a Service, you agree that your subscription will automatically renew at the end of the applicable subscription period unless you cancel it before the renewal date. You authorize Meshhur Network Ltd to charge your payment method for the renewal term. You can cancel the automatic renewal of your subscription at any time by following the instructions provided in the Services. Upon cancellation, you will retain access to the subscription services until the end of the current subscription period, after which access will cease.

Meshhur Network Ltd reserves the right to suspend or terminate your account or access to our Services at any time, with or without cause, with or without notice, effective immediately. If we terminate your account, your right to use the Services will immediately cease. We may also remove or delete any User Content that you have posted to the Services. If you wish to terminate your account, you may simply discontinue using the Services or contact us at info@meshhurhub.com. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Meshhur Network Ltd expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We make no warranty that (i) the Services will meet your requirements; (ii) the Services will be uninterrupted, timely, secure, or error-free; (iii) the results that may be obtained from the use of the Services will be accurate or reliable; or (iv) the quality of any products, services, information, or other material obtained by you through the Services will meet your expectations.

To the fullest extent permitted by applicable law, in no event shall Meshhur Network Ltd, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Services; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Services by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been advised of the possibility of such damages. In no event shall Meshhur Network Ltd's total liability to you for all claims arising out of or related to these Terms or the Services exceed the amount paid by you, if any, to Meshhur Network Ltd for the Services in the twelve (12) months prior to the event giving rise to the liability.

You agree to indemnify, defend, and hold harmless Meshhur Network Ltd, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, costs, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (i) your use of the Services; (ii) your User Content; (iii) your violation of these Terms; (iv) your violation of any rights of another; or (v) your conduct in connection with the Services. This indemnification obligation will survive these Terms and your use of the Services.

These Terms and any disputes arising out of or relating to these Terms or the Services will be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Germany, and the parties hereby consent to the personal jurisdiction and venue therein. In the event of a dispute, the parties agree to first attempt to resolve the dispute informally by contacting each other. If the dispute cannot be resolved informally, the parties may agree to resolve the dispute through binding arbitration or in court.

Meshhur Network Ltd reserves the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. We will notify you of changes by posting the new Terms on our website or by other means of communication. Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Services.

These Terms constitute the entire agreement between you and Meshhur Network Ltd regarding the use of the Services and supersede all prior and contemporaneous agreements, proposals, or communications, whether oral or written, between you and Meshhur Network Ltd. If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. No waiver of any provision or right under these Terms will be effective unless in writing and signed by an authorized representative of Meshhur Network Ltd. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. These Terms are not assignable, transferable, or sublicensable by you except with our prior written consent. Meshhur Network Ltd may assign, transfer, or delegate any of its rights and obligations hereunder without consent.
